1. Who we are
Waypoint is operated by Joel Torres, based in Ibiza, Spain (“Waypoint”, “we”, “us”). Contact: joeltorresc10@gmail.com.
2. The service
Waypoint is software that connects a community’s payments with Discord access. Members start checkout from the operator’s Discord community and pay securely through Stripe Checkout. When a payment succeeds, Waypoint grants the Discord role the operator configured, and keeps subscriptions, renewals, billing and cancellations connected to each member’s access.
Waypoint does not process card payments. Payments are processed by Stripe. Waypoint is not the seller of your products or services and is not a party to the sale between you and your members.
3. Eligibility and your account
- You must be of legal age and able to enter into a binding contract. Waypoint is intended for use in the course of a business, trade or community activity.
- Keep the information you give us accurate and up to date.
- You are responsible for your account, for keeping your credentials secure, for your Discord server and its permissions, for how you configure Waypoint, and for activity under your account.
4. Discord
To use Waypoint you add it to your Discord server and grant the permissions it needs to manage the roles you configure. You must comply with Discord’s Terms of Service and policies. Discord is a third-party platform: its availability and decisions are outside our control.
5. Stripe and Connected Accounts
Payment processing services for operators on Waypoint are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement (together, the “Stripe Services Agreement”). By agreeing to these terms or continuing to operate as an operator on Waypoint, you agree to be bound by the Stripe Services Agreement, as Stripe may modify it from time to time.
As a condition of Waypoint enabling payment processing services through Stripe, you agree to provide Waypoint with accurate and complete information about you and your business. You authorise Waypoint to share that information, and transaction information related to your use of Stripe’s payment processing services, with Stripe as necessary.
What you authorise Waypoint to do
You authorise Waypoint to access the data in your Stripe Connected Account that is necessary to provide the service, and to perform these activities on your Connected Account:
- read your account identifier and status, and the products and prices you sell through Waypoint;
- create Stripe Checkout sessions for your members;
- receive and process payment, subscription, renewal, cancellation, refund and dispute events, in order to grant, maintain or remove the Discord access you configured;
- open Stripe billing portal sessions so your members can manage their billing;
- collect the Waypoint fees described in section 6.
Waypoint uses this access only to provide the service to you. Your relationship with Stripe, including payouts, is governed by the Stripe Services Agreement. How Stripe handles personal data is described in the Stripe Privacy Policy.
6. Waypoint fees
Waypoint charges a monthly plan fee plus a Waypoint fee on each transaction:
- Starter: $19 per month + 2.5% per transaction.
- Growth: $49 per month + 1.5% per transaction.
Stripe processing fees are separate. Stripe charges them under its own terms.
Waypoint fees are billed or collected through Stripe. Taxes may apply where the law requires. We may change our prices with reasonable advance notice. The new prices apply from your next billing period after the notice.
7. Subscriptions and billing
Plans are billed monthly and renew automatically each month until cancelled. The transaction fee applies to transactions processed through Waypoint on your Connected Account.
8. Cancellation
You can cancel your plan at any time by contacting us at joeltorresc10@gmail.com, or through any tools we provide. Your plan stays active until the end of the current billing period. Fees for transactions processed before cancellation remain due. Your members’ subscriptions to your community are yours to manage.
9. Refunds
If you believe Waypoint charged you in error, contact us and we will review it. Refunds to your members are your responsibility and are made through your Stripe account; Waypoint can reflect them in members’ access according to your configuration. Nothing in these terms limits any refund or withdrawal right you have under mandatory law.
10. Your responsibilities as a merchant
You sell your products and services, and you remain responsible for:
- your products and services, their descriptions, pricing and delivery;
- your customers and members, and your community;
- taxes and invoicing;
- refunds, chargebacks and disputes;
- complying with the law, including consumer protection and data protection law, and with Stripe’s and Discord’s terms and policies;
- telling your members how their personal data is used.
11. Acceptable use
You may not use Waypoint to:
- sell anything illegal, or anything Stripe does not permit (see Stripe’s restricted businesses);
- break Discord’s terms or policies;
- deceive or defraud anyone, or infringe anyone’s rights;
- distribute malware, or interfere with, overload or disrupt the service;
- reverse engineer or circumvent the service or its limits, except where the law allows it;
- resell or provide the service to others without our permission.
12. Third-party services
Waypoint depends on Stripe, Discord and other third-party services. Their own terms govern your use of them, and we are not responsible for their availability, actions or decisions.
13. Intellectual property
Waypoint, including its software, name and brand, belongs to us. While you follow these terms, we grant you a limited, non-exclusive, non-transferable right to use the service. Your content and data remain yours; you allow us to use them only as needed to provide the service. If you send us feedback, we may use it without obligation to you.
14. Early Access and availability
Waypoint is in Early Access. Features may change, be added or be removed, and the service may sometimes be unavailable. We will try to give reasonable notice of material changes. To the extent the law allows, the service is provided “as is” and “as available”, without warranties beyond those that cannot be excluded.
15. Limitation of liability
To the extent the law allows, Waypoint is not liable for indirect or consequential losses, or for loss of profits, revenue, data or goodwill. Our total liability arising from these terms is limited to the Waypoint fees you paid in the 12 months before the event giving rise to the claim.
Nothing in these terms limits or excludes liability for fraud, wilful misconduct or gross negligence, for death or personal injury caused by negligence, or any other liability that cannot be limited or excluded under applicable law.
16. Suspension and termination
We may suspend or end your access if you breach these terms, fail to pay, create legal or security risk, or put Waypoint’s relationship with Stripe or Discord at risk. Where reasonable, we will give notice first. You can stop using Waypoint at any time. When access ends, Waypoint stops managing your community’s roles.
17. Changes to these terms
We may update these terms as Waypoint develops. We will publish the new version here with its effective date and give reasonable notice of material changes. If you continue to use Waypoint after they take effect, you accept them; if you don’t agree, stop using Waypoint and cancel your plan.
18. Governing law and jurisdiction
These terms are governed by Spanish law, and the courts of Spain have jurisdiction. If you are a consumer, you keep the protection of the mandatory laws of the country where you live, and you may bring proceedings wherever those laws allow.
